Terms of Service

1. Overview

BrokersConnect is a commercial real estate loan marketplace operated by Brokers Connect LLC ("we," "us," or "Company"). By accessing or using our platform at brokersconnect.polsia.app (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms govern your access to and use of the BrokersConnect platform, including any trial subscriptions, paid subscriptions, deal submission features, lender matching services, and community chat functionality.

2. Trial Subscription

BrokersConnect offers a paid trial program with the following terms:

• Trial Period: One (1) week at a cost of $1.00 USD.
• Auto-Conversion: Upon expiration of the trial period, your subscription will automatically convert to a paid monthly subscription at $30/month unless you cancel prior to the trial end date.
• Billing: Payment is processed via Stripe. You authorize recurring charges to your payment method on file.
• Cancellation: You may cancel at any time before the trial converts by visiting your account settings or contacting us at info@thecrebrokersconnect.com. Cancellation stops the automatic charge, and you retain access through the end of the trial period.

3. Payment and Billing

All payments are processed by Stripe. BrokersConnect does not store your raw payment card information. The following billing terms apply:

• Recurring Charges: Paid subscriptions renew monthly. You authorize us to charge your payment method on each billing cycle until you cancel.
• Failed Payments: If a payment fails, we will attempt to charge your payment method again. After a failed payment attempt, your account may be locked until the outstanding balance is resolved. We reserve the right to suspend or terminate access for non-payment.
• Price Changes: We may change subscription pricing with 30 days' advance notice prior to your next billing cycle. Price changes take effect at the next renewal.
• No Refunds: Subscription fees are non-refundable, including for partial months or unused periods, except as required by applicable law.

4. Account Eligibility and Anti-Abuse

To protect the integrity of our trial program, the following restrictions apply:

• One Trial Per Person: Only one trial subscription is permitted per individual, household, or IP address. We use IP address tracking and other technical measures to enforce this limit.
• IP-Based Restrictions: If we detect that an IP address has previously claimed a trial, additional trial signups from that IP may be blocked without notice.
• Accurate Information: You must provide accurate, current, and complete information during registration. Providing false or misleading information may result in immediate account termination.
• Age Requirement: You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Service.

5. Acceptable Use

You agree not to use the Service to:

• Submit false, misleading, or fraudulent loan deals or borrower information.
• Upload or share malicious files, viruses, or malicious code through any feature of the platform.
• Attempt to gain unauthorized access to other users' accounts or to our systems.
• Use the platform to solicit borrowers or lenders outside of the service for the purpose of circumventing our platform fees.
• Interfere with, disrupt, or overload the Service or its underlying infrastructure.
• Use automated bots, scrapers, or data extraction tools without prior written permission.
• Violate any applicable local, state, or federal law in connection with your use of the Service.

Violations may result in immediate account suspension or termination without refund.

6. Term and Termination

Your Term: Your subscription continues month-to-month until you cancel. You may cancel at any time through your account settings or by emailing info@thecrebrokersconnect.com.

Our Right to Terminate: We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraud or abuse, or failed to pay amounts owed. In such cases, no refund will be issued.

Effect of Termination: Upon termination, your access to the platform will cease, and any data associated with your account (including saved deals, templates, and search history) may be deleted at our discretion.

7. Service Availability

We endeavor to keep the platform available and operational, but we do not guarantee continuous uptime. Planned maintenance, updates, or unexpected technical issues may result in temporary unavailability. We will endeavor to provide reasonable notice of planned downtime when possible.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with or without notice.

8. Intellectual Property

The BrokersConnect platform, including its design, code, branding, and content, is owned by Brokers Connect LLC and protected by applicable intellectual property laws. You retain ownership of any data, documents, or content you upload to the platform. By uploading content, you grant us a limited license to store and display it in connection with your use of the Service.

9. Third-Party Services

The Service may integrate with third-party services, including Stripe (payment processing) and OpenAI (deal intelligence analysis). Your use of third-party services is governed by those providers' own terms and privacy policies. We are not responsible for the practices or data handling of any third-party provider.

10. Disclaimers and Limitation of Liability

No Warranty: The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

No Guarantee of Results: BrokersConnect does not guarantee that any deal submitted through the platform will receive lender responses, approvals, or funding. Lender decisions are made independently by each lender.

Limitation of Liability: To the maximum extent permitted by law, Brokers Connect LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill, arising out of or in connection with your use of the Service — even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Brokers Connect LLC and its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of the United States, and you consent to the exclusive jurisdiction of such courts.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Effective Date" at the top of this page and, where required by law, provide notice via email or a prominent notice on the platform. Your continued use of the Service after any change constitutes your acceptance of the updated Terms.
